1. Acceptance

Binding agreement between you and SeeWorld Limited. By accessing www.seeworld.autos or engaging services, you agree. Discontinue if you disagree. Continued use after revision constitutes acceptance. You represent age of majority and authority to bind.

2. Definitions

Client, Confidential Information, Deliverables, Services (systems design, architecture, cloud, integration, cybersecurity, managed ops, transformation), SOW, Website as defined.

3. Services

Enterprise-grade technology consulting. Specific scope per SOW. No obligation from website alone. We may modify services with notice; decline per applicable Hong Kong law.

4. Website Use

Limited license for legitimate business. No unlawful use, unauthorized access, scraping, or malicious code. We may monitor and terminate access.

5. Intellectual Property

All content property of SeeWorld Limited, protected by Hong Kong and international IP law. Deliverable rights per SOW.

6. Client Obligations

Timely access, contact designation, backup maintenance, legal compliance, license procurement.

7. Fees

Per SOW. USD, taxes extra. Net 30. Late interest 1.5%/month. Service suspension after notice.

8. Confidentiality

Strict confidence. Excludes public, previously possessed, independently developed, or rightfully obtained. Survives 3 years or indefinitely for trade secrets/PII.

9. Warranties

Professional workmanship 30 days. AS-IS otherwise. ALL IMPLIED WARRANTIES DISCLAIMED.

10. Limitation

NO INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES. CAP AT TWELVE MONTHS FEES.

11. Indemnification

You indemnify against claims from violation, unauthorized use, or infringement.

12. Termination

Website access terminable immediately. Surviving provisions remain. Service per SOW.

13. Force Majeure

Neither party liable for causes beyond reasonable control.

14. Disputes

Negotiation (60 days), then HKIAC arbitration in Hong Kong. Individual basis. Injunctive relief permitted.

15. Governing Law

Hong Kong SAR. Exclusive HK courts. CISG excluded.

16. General

Entire agreement, severability, no-waiver, non-assignment, independent contractor, written notices.
